Terms of Use for NextTouch

Introduction
These Terms of Use ("Terms") govern your access to and use of the NextTouch mobile application, related web pages, APIs, and supporting services (together, the "App" or "Services") operated by Blue Sparrow ("we", "us", or "our"). Blue Sparrow is currently operated by a solo developer based in India.
By downloading, accessing, or using NextTouch, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Business Use
You may use NextTouch only if:
- you are at least 16 years old, or the minimum age required where you live
- you are legally permitted to use the Services
- you have authority to enter into these Terms
If you use NextTouch on behalf of a company, employer, client, or other organization, you confirm that you are authorized to do so and that your use of the App complies with your internal policies and obligations.
2. Account, Access, and Workspaces
2.1 Account creation
NextTouch currently uses Google Sign-In for account access. You agree to provide accurate information and keep your login credentials and device access reasonably secure.
2.2 Workspace access
Some features depend on workspace membership and role. Owners, admins, managers, and reps may have different capabilities inside the App.
2.3 Responsibility for account activity
You are responsible for activity that occurs through your account, workspace membership, connected providers, uploaded content, support messages, and device sessions.
2.4 Restriction or suspension
We may restrict or suspend access if reasonably necessary to protect the App, other users, our infrastructure, or compliance obligations, including in cases of misuse, abuse, fraud risk, or repeated violations of these Terms.
3. License to Use NextTouch
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use NextTouch for your internal business, professional, or productivity workflow.
This license does not transfer any ownership rights in the App or Services to you.
4. Permitted Use of the App
NextTouch is intended to help users:
- capture meeting notes, call notes, and transcript text
- review AI-suggested commitments
- create and manage follow-ups
- work a Today or Overdue queue
- complete or snooze follow-ups
- receive reminders and re-enter quickly from notifications
- view manager or workspace-level execution signals where available
- connect supported integrations
- manage subscription and workspace access
- send support, feedback, or contact messages
5. Prohibited Use
You may not:
- use the Services for unlawful, abusive, deceptive, or fraudulent purposes
- upload content you do not have the right to use
- use the App to spam, harass, or mislead other people
- interfere with the operation, security, or reliability of the Services
- attempt unauthorized access to accounts, systems, data, or provider tokens
- reverse engineer, copy, or exploit the Services except where applicable law clearly allows it
- use the App in a way that violates confidentiality, privacy, employment, or contractual obligations that apply to you
- use the App as a mass-surveillance or unauthorized data-harvesting tool
6. Your Content and Business Data
6.1 Ownership
You retain ownership of the notes, transcript text, commitments, follow-ups, support messages, drafts, uploaded content, and workspace information you create or upload in NextTouch.
6.2 Permission you give us
You give us a limited right to host, process, store, back up, transmit, analyze, and display your content only as reasonably necessary to provide, maintain, secure, and improve the Services.
6.3 Your responsibility
You are responsible for the accuracy of the information you enter, for confirming that you are allowed to use any uploaded or connected data, for obtaining any notices or permissions required for your use case, and for reviewing AI suggestions before relying on them.
7. AI-Assisted Features
NextTouch may use AI-assisted processing to help identify commitments, suggest due dates or ownership, and generate draft follow-up content.
These features are assistive only. You remain responsible for reviewing outputs, checking accuracy, and deciding what to confirm, edit, dismiss, save, or send.
8. Integrations and Third-Party Services
NextTouch may integrate with third-party services such as authentication providers, app stores, subscription platforms, CRM systems, calendar providers, mail providers, analytics providers, and hosting providers.
If you connect a third-party service, you authorize the App to access and process data needed for that feature. Your use of the third-party service may also be subject to that provider's own terms and privacy rules.
We are not responsible for independent changes in third-party APIs, scopes, policies, or service availability.
9. Notifications, Email, and Support Communications
NextTouch may send operational app communications such as:
- push reminders
- account or subscription notices
- support replies
- service or safety notices
Where available, you may also initiate support or feedback communications through the App.
10. Free, Premium, and Billing
10.1 Plans
NextTouch may offer a free plan and one or more premium plans or entitlements.
10.2 Premium unlocking model
For early versions of the product, one eligible owner or admin subscription may unlock Premium access for the workspace, subject to product rules and backend enforcement.
10.3 Billing providers
Purchases, renewals, cancellations, refunds, and related billing actions may be handled through app stores, RevenueCat, and related billing partners.
10.4 Changes to plans or pricing
We may change plans, usage limits, eligibility, packaging, features, or pricing prospectively as allowed by applicable law and platform rules.
10.5 Downgrades
If a subscription ends or a workspace downgrades, premium-only features may become unavailable, but we do not intend to immediately delete core workspace records solely because a paid plan ended.
11. Feedback and Suggestions
If you send us feedback, ideas, suggestions, or improvement requests, we may use them to improve NextTouch without any obligation to compensate you.
12. Availability, Updates, and Beta Features
We may update, improve, limit, pause, or discontinue features of NextTouch from time to time. This includes workflow changes, integration availability, feature limits, plan packaging, reminder logic, and AI behavior.
Some features may be beta, preview, experimental, or limited-release. We do not guarantee uninterrupted availability or that every feature will always work on every device, network, platform, or provider connection.
13. Privacy
Your use of NextTouch is also governed by our Privacy Policy, which explains how we collect, use, store, and share data.
14. Suspension, Termination, and Deletion
You may stop using NextTouch at any time.
We may suspend, restrict, or end access where reasonably necessary to protect the Services, protect users or connected systems, address misuse or abuse, maintain security, or comply with legal obligations.
If access ends, some data may remain for a reasonable period where needed for backups, security, audit, subscription integrity, abuse prevention, or compliance.
15. Disclaimers
To the extent permitted by applicable law, NextTouch is provided on an "as available" and "as is" basis.
We do not guarantee uninterrupted or error-free operation, that reminders will never be delayed or missed, that AI suggestions will always be correct, that integrations will always remain available, or that the Services will satisfy every business, compliance, reporting, or internal process requirement you may have.
NextTouch is a workflow and productivity tool. It does not provide legal, tax, accounting, regulatory, employment, or professional advice.
16. Limitation of Responsibility
To the maximum extent permitted by applicable law, Blue Sparrow will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive losses, or for loss of revenue, profits, goodwill, business opportunities, or data arising from your use of the Services.
To the maximum extent permitted by applicable law, our total responsibility for claims relating to the Services will not exceed the greater of the amount you paid us for NextTouch in the 12 months before the event giving rise to the claim, or USD 50 if you did not pay us during that period.
Nothing in these Terms limits rights that cannot be limited under applicable law.
17. Changes to These Terms
We may revise these Terms from time to time. When we do, we will update the "Last Updated" date and may provide notice in the App, on the website, or by other reasonable means.
Your continued use of NextTouch after revised Terms take effect means you accept the updated Terms.
18. General Provisions
These Terms and our Privacy Policy form the main agreement between you and Blue Sparrow regarding NextTouch.
If one provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law. Any delay or failure by us to enforce a provision does not waive that provision. Mandatory consumer protections that apply to you continue to apply.
